These Terms of Service ("Terms") constitute a legally binding agreement between you and Mobile Seller LLC ("MSeller", "we", "us", or "our"), a company registered in New Jersey, USA, in partnership with ITSoluclick SRL in the Dominican Republic. By accessing or using the MSeller platform, you agree to be bound by these Terms.
MSeller provides a cloud-based software-as-a-service (SaaS) platform for mobile sales and business management. We offer multiple subscription plans with varying features and capabilities designed to help businesses manage their sales operations.
You must be at least 18 years old and have the legal capacity to enter into contracts to use our service. By creating an account, you represent and warrant that you meet these requirements. The service is available only to businesses located in the American continent (the Americas); see the Geographic Availability and Restricted Territories section.

We offer multiple subscription plans with different features, limitations, and pricing. Plan details and pricing are available on our website and may be updated from time to time.
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your payment method on a recurring basis.
We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price changes take effect. Your continued use of the service after the price change constitutes acceptance of the new price.
Subscription fees are non-refundable except as required by law. Cancelling your subscription does not entitle you to a refund or credit for the current billing period — whether monthly or annual — that you have already paid.
You may cancel your subscription at any time from your account settings or by contacting our support team. Cancellation stops future automatic renewal; no refund or credit is issued for the current billing period (the current month or year already paid). Your account remains active and you may continue using your plan's features until the end of the paid period, after which your account will revert to the Free plan or be closed. You are responsible for exporting any data you wish to keep before the period ends (see Section 10, Termination).
Annual (yearly) billing is our recommended option: it is billed once per year in advance and offers the best effective price. Annual subscriptions also include, at no additional cost, the service availability (uptime) terms described in Section 9 (Service Availability). These availability terms are offered as a courtesy on a best-effort basis and do not constitute a contractual guarantee or a Service Level Agreement (SLA).

The MSeller platform, including all software, designs, text, graphics, and other content, is owned by Mobile Seller LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service.
You retain ownership of any data, content, or materials you submit to the service. By submitting content, you grant us a license to use, store, and process it solely to provide and improve our service.
Your use of the service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. We are committed to protecting your data and maintaining compliance with applicable data protection regulations.
We strive to provide reliable service but do not guarantee uninterrupted access. We may perform scheduled maintenance, experience technical issues, or need to suspend service for security reasons. We are not liable for any downtime or service interruptions.
Subscribers on an annual (yearly) plan receive, at no additional cost and as a courtesy, service availability (uptime) terms. These availability targets are provided on a best-effort basis, "as is", and do NOT constitute a contractual guarantee or a Service Level Agreement (SLA). No uptime credits, refunds, or liability arise from failing to meet an availability target. Section 11 (Disclaimers) and Section 12 (Limitation of Liability) apply.
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.
We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activities that harm our service or other users. We will provide notice when reasonably possible.
Upon termination, your right to use the service will immediately cease. We may delete your data after a reasonable period. You should export any data you wish to retain before termination.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOBILE SELLER LLC, ITSOLUCLICK SRL, AND THEIR AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
You agree to indemnify and hold harmless Mobile Seller LLC, ITSoluclick SRL, and their affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the service, violation of these Terms, or infringement of any rights of others.
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to its conflict of law provisions. However, for customers domiciled in the Dominican Republic, the mandatory provisions of Dominican consumer-protection law — in particular Law No. 358-05 (Pro Consumidor) — apply, and nothing in these Terms waives, limits, or excludes those non-waivable statutory rights.
Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. Consumers domiciled in the Dominican Republic retain their statutory rights and their access to the National Institute for the Protection of Consumer Rights (Pro Consumidor) and the competent Dominican courts where required by law.
We may modify these Terms at any time. We will provide notice of material changes by email or through the service. Your continued use of the service after changes become effective constitutes acceptance of the modified Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mobile Seller LLC regarding the service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
